1. Definitions

Platform: the AustinEco website and APIs. Clinic: a licensed dental practice registered with AustinEco. Designer: an independent dental digital design professional. Manufacturer: a dental lab or production facility. Order: a unit of work transmitted through the Platform in one of two forms — Design Order or Production Order.

2. Nature of the Service

The Platform transmits digital files and matches Orders between Clinics, Designers, and Manufacturers. It does not provide medical device functionality, clinical decisions, or medical advice. Each party acts as an independent contractor with respect to the others.

3. Quality Gate

All files submitted to the Platform are subject to automated geometric quality checks. Files that fail the critical threshold cannot be transmitted until repaired. AustinEco does not guarantee fitness for any particular clinical use.

4. Escrow and Payment

Clinic payments are held in escrow via our payment partners. Funds are released to Designer / Manufacturer after the Clinic confirms receipt or after the automatic-confirmation period elapses without dispute.

5. Anti-Bypass (Binding of First Match)

After a Clinic first completes an Order with a specific Designer or Manufacturer through the Platform, the parties agree that for a period of thirty-six (36) months from the completion date, all same-category business between those two parties shall be conducted through the Platform. Bypass Conduct is defined as conducting, outside the Platform, any Order of the same category (design or production) between a Clinic and a previously-matched counterpart, for the duration of the binding period.

5.1 Liquidated Damages for Bypass

A party found to have engaged in Bypass Conduct shall pay AustinEco liquidated damages equal to the greater of (a) 50% of the bypassed Order value, or (b) USD 5,000 per occurrence.

5.2 Audit Rights

AustinEco may audit the business records of a party on reasonable notice where it has specific grounds to suspect Bypass Conduct. Refusal to cooperate with such audit shall be deemed an admission.

6. Commission

The Platform deducts a commission from each Order at the rate specified in the Platform’s published schedule (typically 15–25%). Commission schedules may be updated on 30 days’ notice.

7. Disputes

Disputes between Clinic and counterpart shall be raised through the Platform within 7 or 14 days of receipt (Design or Production Order respectively). AustinEco’s mediation is limited to geometric-technical evidence and the published Order specification. Clinical appropriateness is explicitly outside the scope of mediation and must be resolved between the parties or through legal process.

8. No Warranties, Limited Liability

THE PLATFORM IS PROVIDED "AS IS". AUSTINECO MAKES NO WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. IN NO EVENT SHALL AUSTINECO’S AGGREGATE LIABILITY EXCEED THE COMMISSION FEES IT RECEIVED FROM THE CLAIMING PARTY IN THE PRECEDING SIX MONTHS.

9. Termination

Either party may terminate its account on 30 days’ notice. Binding of first matches (§5) survives termination for the full 36-month period.

10. Governing Law

This agreement is governed by the laws of Hong Kong. Disputes not resolvable through the Platform’s mediation shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
